1. Agreement to Terms
These Terms of Service ("Terms") govern your use of Setlistly's website, mobile applications, and services (collectively, the "Service"), operated by Setlistly, LLC ("Setlistly," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms. If you do not agree, you may not use Setlistly.
If you are using the Service on behalf of a band, organization, or business, you represent that you have authority to bind that entity.
2. Eligibility
You must be at least 13 years old to use Setlistly. If you are under 18, you must have permission from a parent or guardian.
3. Account Registration and Security
You agree to:
- Provide accurate and current information
- Maintain the confidentiality of your login credentials
- Be responsible for activity under your account
- Notify us immediately of unauthorized access
We are not responsible for losses caused by unauthorized account access.
4. Description of the Service
Setlistly provides tools for musicians and bands to:
- Organize song catalogs
- Create and manage setlists
- Track performances and rehearsals
- Collaborate with band members
- Analyze performance and usage data
- Access insights, recommendations, and related features
We may update, modify, or discontinue features at any time.
5. Free and Paid Plans
Setlistly offers both free and paid subscription plans.
A. Free Plan
The free plan includes limited features and usage. Feature limits may change.
B. Paid Subscriptions
Paid plans may be billed monthly or annually.
By subscribing, you agree that:
- Subscriptions automatically renew until canceled.
- Billing occurs at the start of each billing period.
- You authorize Setlistly and its payment processor to charge your payment method.
6. Cancellation and Refunds
You may cancel your subscription at any time.
Cancellations take effect at the end of the current billing period. You will continue to have access until the next billing date.
No refunds are provided for annual plans or partial billing periods.
7. Pricing and Changes
We may change pricing, plans, or features at any time. Changes will not affect your current billing period but may apply to future renewals.
We will provide reasonable notice of material pricing changes.
8. Payment Processing
Payments are processed by third-party providers such as Stripe.
You agree to:
- Provide accurate billing information
- Keep your payment method current
- Pay all applicable taxes
Setlistly does not store full payment card details.
9. User Content and Ownership
You retain ownership of the content you submit, including:
- Songs
- Setlists
- Performance data
- Notes and analytics
- Other band-related content
By using Setlistly, you grant us a worldwide, non-exclusive license to:
- Host and store your content
- Process it to provide and improve the Service
- Generate insights and recommendations
- Analyze aggregated and anonymized trends
We do not sell your personal or band content.
10. Band Collaboration and Shared Access
When you invite band members:
- They may view and interact with shared content
- You are responsible for managing permissions
- Setlistly is not responsible for disputes between band members
11. Acceptable Use
You agree not to:
- Use the Service for illegal or fraudulent purposes
- Upload unlawful, infringing, or harmful content
- Violate intellectual property rights
- Interfere with the Service's operation
- Attempt unauthorized access to systems
- Abuse, harass, or harm other users
We may remove content or suspend accounts that violate these Terms.
12. Intellectual Property
The Service, including software, design, and content (excluding user content), is owned by Setlistly or its licensors.
You may not:
- Copy, modify, or distribute the Service
- Reverse engineer or exploit the platform
- Use our branding without permission
13. AI, Automation, and Insights
Setlistly may use automated tools and algorithms to:
- Generate recommendations
- Provide insights
- Improve user experience
- Analyze usage and performance
These features are provided "as is" and do not constitute professional advice.
14. Service Availability and Beta Features
We do not guarantee:
- Continuous availability
- Error-free operation
- Data backup or recovery
Some features may be experimental or beta.
You are responsible for maintaining backups of critical data.
15. Third-Party Services
The Service may integrate with or link to third-party services.
We are not responsible for:
- Their content
- Their privacy practices
- Their performance
Your use of those services is governed by their terms.
16. Termination
We may suspend or terminate accounts if:
- You violate these Terms
- You misuse the Service
- Required by law or security concerns
You may stop using the Service at any time.
17. Disclaimers
The Service is provided "as is" and "as available."
To the fullest extent permitted by law, Setlistly disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not guarantee specific results or outcomes.
18. Limitation of Liability
To the maximum extent permitted by law:
Setlistly's total liability will not exceed the fees paid by you in the 12 months preceding the claim.
We are not liable for:
- Indirect or consequential damages
- Loss of data or profits
- Business interruption
19. Indemnification
You agree to indemnify and hold harmless Setlistly and its affiliates from claims arising from:
- Your use of the Service
- Your content
- Your violation of these Terms
20. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
Arbitration
Any dispute will be resolved through binding arbitration in Massachusetts.
You agree to:
- Waive the right to a jury trial
- Waive participation in class or collective actions
This does not prevent either party from seeking injunctive relief in court.
21. Changes to the Terms
We may update these Terms from time to time.
If material changes occur, we will provide notice through the Service.
Continued use of Setlistly indicates acceptance of updated Terms.
